Entities are not just players or buildings. An entity is pretty much everything in the game world that is dynamic and interacts with the game in some way (i.e. receives or sends code input/output). Every special object in the map like triggers, tech points, resource nozzles, lights, every weapon and even every single spore cloud is an entity. Information can also be passed from server to client via persistent "info" entities instead of sending network messages directly.
That is why you have 100-200 entities on an empty server.
Minimum requirements: phenom ii x965 black oc'd 3.6ghz hd 5850 4 gigs ram 12 gigs hard disk at least 1Mbit bandwidth
Recommended: (client and server) i5/i7 newer gen 4.4-5ghz hd5970 or 660 ti 16 gigs ram lots of space 2Mbit connection (home) 50Mbit connection (server)
You're only seeing 20% percent on the process because NS2 server only uses 1 core, which will show up as 20 percent in task manager dependent on the number of cores.
I would suggest to wait until server optimization is done before running a server of that size or scaling down because like other people say, requirements are quite high (4.4ghz+ for a 24 player server), no way around it at the moment.

What's interested about this graphic is that my server is using one of the best i7 in the market. ( Intel® Core i7-3930K Processor ) It has L3 12 mb cache and cache seems to have no impact on performance. Its only the GHZ that makes the different in this cause about NS2.
So the best would be buying a cheap processor like i5 and then overclock it to 4.5 GHZ. I really don't regret that I've bought one of the expansive cpu in the market because I can host more servers. :)

However, you might consider pushing your OC a little further if you want to see better performance. Hugh is using a 3930k OCd to 4.4GHz in his NS2HD servers.

It almost sounds like the Server Tools are treating a CPU like a Memory interface; via the need for higher speeds to handle the entities.
I have faith that something will be done about it; because if not... it's certainly something that, imo, can kill the game from becoming what it deserves.
- I'd personally rather lower my slots than push my CPU's and degrade the hardware; which is what I'll be doing instead. If those servers ever do get some players on them then I'll have some data to check and see how much I can push the slots before slow-down on my particular box.

A year ago, HBZ's ridiculous 4.8GHz box would have barely been able to handle a 12 person server. They still got a ways to go, but they are well on their way to doing it.
