It's not actually part of Half-Life, but was most likely placed there by a mod such as Natural Selection.
<a href='http://www.fmod.org/' target='_blank'>FMOD</a> is a system for mixing and playing sound and/or music. I think most HL mods use it for MP3 support, but Nightwatch is using it for Ogg Vorbis.
It's probably alright for Sven Coop to overwrite it, assuming it's doing so with the same version or a compatible one - if you're unsure, tell it not to or take a backup of the original in case NS breaks.

<a href='http://www.fmod.org' target='_blank'>Fmod</a>. Its used in NS and SvenCoop for the ingame mp3 players, it should be ok to overwrite it, as long as its a newer version, and if it isn't, it will probably work anyway, and you can just download the latest version from the site and put it in your HL folder if it isn't.
