Ok, wow.. I must be getting old.... I installed the PhysX SDK, no change.
I reinstalled the game again, no change.... I updated my nvidia drivers to the latest.... problem solved! :)
I guess the physx implementation in the older 197.xx drivers must be missing components that the latest build was done on.
I am running 258.96 and everything is hunky dory.

i may need to do a 'clean' install of drivers, but i'm worried that if that doesn't work, i'm going to lose what functionality i still have :/
can anyone else confirm that an upgrade of drivers fixed the problem?
Yeah, I originally tried the PhysX redist also and got the same message, when I updated to the newest nvidia drivers I did note that the PhysX control panel implementation has completely changed.
Installing the latest drivers definitely fixes the issue as I've had two others solve it this way also.
Harimau, are you uninstalling the display drivers prior to installing the newer ones? What card do you have? What drivers are you currently using?
1. Run regedit.exe.
2. Browse to: HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows\CurrentVersion\Installer\UserData\S-1-5-18\Components
3. Right click on the components folder, click permissions.
4. On all the users there, tick full control (allow) and then apply. At some points it may say it failed to set permissions for some keys, just keep going.
5. Click advanced, go to the owner tab.
6. Select whichever user you are, or administrators, tick "replace owner on subcontainers and objects" and click apply.
7. Click OK, go back to the window from beforehand and try to reapply full control settings for each user just to make sure.
8. Try your installer again

I haven't been uninstalling it, simply because previously I never had to. But now that I know that simply patching over clearly doesn't work, then a clean install is probably necessary. I have an 8800 GT, with really old drivers: 182.08; I downloaded 258.96; huge difference, as you can see. I haven't done the clean install yet because of two reasons: one, the time and effort investment (atm I'm kinda just lazy), and two, I'm worried that in the worst case scenario even the clean install will mess up my system (which I use very regularly), and I haven't got an alternative backup system to use before I fix those issues. Still, if you can put me at ease as to reason two, I may go ahead and do it anyway.
One other thing, should I download and install Direct X 10?
Edit: You know, in retrospect, if the only issue with this particular thing is outdated drivers, then instead of crashing the game with a 'fatal error' message, the first patch should instead make it say "Please update to the latest graphics drivers. For more information, ..." with a link to a guide to cleanly install new drivers; or something along those lines - rather than cause all this confusion.
On top of that it's not EVERY time I play. It's mostly here and there but it's still really annoying in advance. Or depending on which servers I join.
